BRAZILIAN ACADEMY OF FACIAL PLASTIC SURGERY - ABCPF
TITLE I
Denomination, Term of Duration, Headquarters and Purposes
Article 1º - The BRAZILIAN ACADEMY OF FACIAL PLASTIC SURGERY, simply called ABCPF, was constituted on august 3rd, 2.006, as a civil association, with scientific character, without lucrative ends, with headquarters and forum in the Judicial district and City of Sao Paulo, State of Sao Paulo, Brazil, whose objective is to promote the specialty development and scientific, technical, cultural and social interchange between its professionals. ABCPF will be ruled by the present Articles of Association, Brazilian Federal Constitution and applied laws, as well as, in accordance with the rules of the larger Association which ABCPF belongs, which is, ABORLCCF - Brazilian Association of Otorrhinolaryngology and Cervical Facial Surgery.
Only paragraph: The term of ABCPF duration is indeterminate.
Article 2º - ABCPF purposes are:
a) To legitimately represent the Facial Plastic Surgeons category, its members, defending administratively or judicially, rights, interests and prerogatives of them when originated from the exercise of the profession.
b) To congregate physicians interested in fomenting progress, perfectioning and diffusion of Facial Plastic Surgery, stimulating its cultural and social relationship.
c) To defend ethics and pertinent interest of its members and to work for the defense, regulation and fiscalization of specialty exercise, being able to represent them before judiciary authorities and other entities.
d) To promote and support scientific and professional development activities in singular or associate way, being able, in this last condition, exclusively in set with ABORLCCF and in compliance with its orientation and authorization, to
grant qualification titles of recognition, prizes and honors, all according norms defined by the Scientific Counsel.
TITLE II
Chapter 1 - Membership
Article 3º - ABCPF organization chart of members will be constituted by the following categories, namely:
a) Regular member, that is, all member with Specialist Title in Otorrhinolaryngology, Head and Neck Surgery, Plastic Surgery and other similar specialties. It is required that this member be certified for more than 05 (five) years, with proven performance in Facial Plastic Surgery area, and still, in these conditions, shall always fill other requirements defined by the Scientific Counsel for its qualification, being always one of them its recognition assigned by ABCPF as "Facial Plastic Surgeon".
b) Effective member, that is, all member with Specialist Title in Otorrhinolaryngology, Head and Neck Surgery, Plastic Surgery and other similar specialties, that had developed procedures of Facial Plastic Surgery, but not yet fills the requirements to be part of the category of regular member, and all other physician with related specialty in the head and neck area, according to criteria defined by the Scientific Counsel that, desiring to participate of the ABCPF activities, will submit its application.
c) Emeritus member, that is, all physician, associate or not of the ABCPF, that has provided excellent services to Facial Plastic Surgery, as well as, people with no nationality or profession distinction who will have made appreciable donation or given excellent services to ABCPF.
d) Redeemed member, that is, members that stoped exerting professional activity because of retirement, but desire to keep association with ABCPF, since they request such condition.
Chapter II - Rights and Duties of Members.
Article 4º - There are no reciprocal rights and obligations between members.
Article 5º - Regular Members' exclusive rights:
a) To be voted for positions at Board of Directors and at the Scientific Counsel;
b) To propose admission of new associates;
c) To indicate names for concession of titles of Emeritus Members;
d) To request from the Board of Directors the convocation of General Meetings when it is necessary to debate matter of ABCPF interest.
Art. 6° - Rights of Regular, Effective and Redeemed Members:
a) To vote for positions in the Board of Directors and the Scientific Counsel;
b) To take place at General meetings in order to propose, argue and vote regarding matters of ABCPF interest;
c) To present, argue and vote subjects and works in reference to ABCPF issues, in meetings convoked for such end;
d) To enjoy all the services offered by ABCPF;
e) To present and offer suggestions to Board of Directors in the interest of the entity or in its area of performance.
Article 7° - Duties of the Regular, Effective, Emeritus and Redeemed members:
a) To defend and practice ethical, moral and professional principles;
b) To defend and watch over for the good stand of ABCPF;
c) To accept deliberations emanated from competent departments of ABCPF;
d) To promptly satisfy due contributions to ABCPF;
e) To take place at meetings and conferences of ABCPF;
f) To act in commissions that will be designated by the Board of Directors and General Meeting;
g) To take place at General Meetings, discussing submitted matters.
Only paragraph - Emeritus and Redeemed Members are excused to fulfill or, not, the duties described at "d", "e", "f" and "g" above mentioned.
Chapter III - Penalties
Article 8° - Penalties will be applied to members that not fulfill with its obligations and others contingencies. Members will be able to suffer warnings, temporary suspension or exclusion, independent of this order of gradation and according the gravity of its act, by decision of the Scientific Counsel, assured ample right of defense.
Only paragraph: Exclusion will have to be authenticated by specific General Meeting, to be convoked, amongst other reasons or not, for this end.
Chapter IV - Requirements for Admission, Resignation and Exclusion of Members
Article 9º - Members will be admitted by proposal of the members foreseen in article 5° of this Bylaws, with evaluation and approval of the Scientific Counsel.
Article 10 - ABCPF Members, indistinctly, will be able to ask, at any time, for resignation, provided they are even in its associative contributions, by petition to President.
Only paragraph - The requirements to be in day with its contributions is not applied to Honorary Members, Emeritus and Seniors, relative to its personal condition of non contribution payers.
Article 11 - Members could be excluded from the associative chart, since recognized the existence of serious causes that support just reason, based on deliberation of absolute majority of members presented at General or Extraordinary Meeting, especially convoked for this end.
Only paragraph - From the decision that, in conformity with the present Article of Association, decrees the exclusion of the associate, will always be possible to ask for revision by General Meeting.
TITLE III
Chapter I - Organization and Administration
Article 12 - ABCPF will be organized and managed by the following Departments:
a) General Meeting;
b) Board of Directors;
c) Scientific Counsel.
Chapter lI - General Meetings
Article 13 - General Meeting, as maximum and sovereign ABCPF department, will have powers, respecting applicable laws and the present Articles of Association, to decide and deliberate on all subjects and acts of Academy interests.
Article 14 - General Meeting will be constituted by Regular, Effective and Redeemed Members, these last ones in optional form. This meeting will happen ordinarily one time each calendar year being coincident with ABCPF events. According ABCPF interests, this meeting can be convoked extraordinarily, always specifically for each end.
§ 1° - General Ordinary Meeting convocation will be preceded by minimum antecedence of 30 (thirty) days by communication to members.
§ 2° - General Extraordinary Meeting will be preceded with minimum antecedence of 15 (fifteen) days, the same way established on § 1°, exclusively to deliberate on subjects described at convocation.
Article 15 - General Meeting will take place in date and time scheduled at first convocation with the majority of its members or, in second convocation, thirty minutes after, with any number of present members.
Only paragraph - Convocation will be made by ABCPF President, or still, by request of 1/5 (one/fifth) of the members mentioned at article 5°.
Article 16 - It competes to the General Meeting:
a) To deliberate on Board of Directors report and taxes to its members;
b) To analyze and approve academy accounts;
c) To install Regular Members and those elected ones for Board of Directors;
d) To modify this Article of Association;
e) To analyze and deliberate on any subject of relevance, mainly cases not predicted by this Article of Association.
Chapter III - Board of Directors
Article 17 - Board of Directors will be constituted by President, Vice-President, Secretary, Associate Secretary, treasurer and Associate treasurer.
Article 18 - It competes to the President:
a) To preside over Board of Directors, which acts as collegiate, representing ABCPF and developing its activities according to its purposes and programs;
b) To nominate Secretary, Associate Secretary, treasurer and Associate treasurer, positions that could be indistinctly occupied by Effective or Titular Members;
c) To preside over General Meeting, the Scientific Counsel and in general ABCPF events;
d) To sign checks together with the secretary or treasurer;
e) To represent ABCPF active, passive, judicial, extrajudicial or by nominating lawyers if necessary;
f) To fulfill and to make fulfill this bylaws and the decisions of General Meetings and the Scientific Counsel.
Article 19 - It competes to the Vice-President:
a) To replace the President in its impediments;
b) To assist Board of Directors in all its activities;
c) To take part of the Scientific Counsel as "born member".
Article 20 - It competes to the Secretary:
a) To co-ordinate general services of administration;
b) To take notes on the meetings of the Scientific Counsel and other ABCPF events;
c) To sign checks together with the President or treasurer.
Article 21 - It competes to the Associate Secretary:
a) To substitute Secretary in its impediments;
b) To participate, as administrative collegiate member, of the respective activities.
Article 22 - It competes to the treasurer:
a) To supervise financial and patrimonial movement;
b) As collegiate member of the administration, to participate in the Board of Directors activities;
c) To jointly sign checks with President or Secretary.
Article 23 - It competes to the Associate treasurer:
a) To substitute the treasurer in its impediments;
b) As collegiate member of the administration, to participate in the Board of Directors activities.
Chapter IV - Scientific Counsel
Article 24 - The Scientific Counsel will be constituted by 07 (seven) regular members, being 05 (five) elected plus the "past" President and the current Vice-President.
Article 25 - The Scientific Counsel will be convoked and co-ordinated by ABCPF President and its deliberations must be performed with at least 03 (three) of its members.
Article 26 - It competes to the Scientific Counsel:
a) To define or modify referring criteria and complementary requirements regarding admission of members in its different categories;
b) To evaluate and decide on the admission of new members or change of category;
c) To define ABCPF scientific and educational actions assisting Board of Directors in its executions;
d) To assist the Board of Directors regarding questions related to ABCPF goals.
TITLE IV
Elections
Article 27 - Elections will be carried out every two years, in accordance with norms of this Articles of Association and internal regiment.
Article 28 - Elections will be carried out by direct and private vote, by means of correspondence voting, regulated by internal regulation, or another propitious way to confirm the necessary quorum for its accomplishment.
Article 29 - Candidates to the positions of President, Vice-president and members of the Scientific Counsel have to be part of Regular or Effective members, having to be quit with its contributions and in full exercise of its social rights, already for occasion of the registration of its candidature, as established in this Article of Association.
Article 30 - Elections will be managed by an Electoral College of five council members, nominated by Board of Directors for such end and, among them, the coordinator will be chosen.
§ 1º - Electoral College will be formed, at least, 30 (thirty) days before elections, extinguishing itself as soon as the result of the elections will be proclaimed, and, placed in charge at General Meeting specifically convoked for this end.
§ 2° - Candidatures will have to be enrolled until, at least, up to 60 (sixty) days before elections, being the name of its integrant ones divulged by circulating, under any form, and envoy to all the members.
§ 3° - Having only one candidature, it can be elect by acclamation of the absolute majority of members present at the place of General Meeting, obeyed the quorum of installation foreseen in this Articles of Association.
TITLE V
General Dispositions
Article 31 - ABCPF can be dissolved by decision of the absolute majority of the Extraordinary General Meeting especially convoked for this end.
Only paragraph - Dissolved the association, the remainder of its equity will be destined to one entity of no lucrative ends indicated by General Meeting.
Article 32 - Works provided to ABCPF by any of its members will be gratuitous of reimbursement. However, expenses or eventual personal damages may be reimbursed, including education activities.
Article 33 - ABCPF President, by approval of simple majority of Board of Directors, "ad referendum" of the Scientific Counsel, will be able to create or to extinguish transitory or permanent Committees, Commissions and Departments with specific objectives, indicating its members.
Article 34 - ABCPF will be able to receive donations with definite objectives or not.
Article 35 - For the fulfillment of its purposes ABCPF will be able to institute collection of taxes, as well as, to define participation in courses carried out for its members, when these courses were receiving support from ABCPF, according to norms established by Board of Directors and authenticated by the Scientific Counsel.
Article 36 - On the interest of its members, ABCPF will be able to join or celebrate accords with national and international entities.
Article 37 - Elected members for Board of Directors positions are not re-eligible for the same function in immediate subsequent mandate.
Article 38 - All questions or doubts that are not predicted in this Articles of Association will be analyzed by the Scientific Counsel, and, later, presented for deliberation at General Meeting especially convoked for this end.
Article 39 - Duration terms of this Articles of Association will be computed, abstaining the start day and including the expiration day, which will be extended for the first working day if the expiration falls into Saturday, Sunday or holiday.
Article 40 - This Articles of Association was approved at General Meeting, carried out in August 3rd of 2.006, and will enter in vigor from the date of its approval.
